Terms of Service

These Terms of Service form a binding agreement between you and Stellad. Read them carefully. By installing the Stellad app, accepting these Terms in-app, or using the service, you agree to them.

If you do not agree, do not install or use Stellad.


#1. Who these Terms are with

Stellad is operated by:

Throughout these Terms, "Stellad", "we", "us" and "our" refer to this entity. "You" or "Merchant" refers to the Shopify merchant who installs and uses the app.

These Terms are a B2B agreement. You represent that you are using Stellad in the course of a professional activity. Where French consumer law (Code de la consommation) imposes mandatory protections on a contract you may qualify for as a consumer, those mandatory rules apply notwithstanding anything in these Terms.


#2. What Stellad does

Stellad is a Shopify app that creates and manages Meta (Facebook and Instagram) ad campaigns automatically. Stellad reads your Shopify store data, generates ad creatives using AI, identifies target audiences, and launches and optimizes campaigns through your connected Meta ad account.

Stellad does not spend ad budget on your behalf. All Meta ad spend is billed by Meta directly to your Meta ad account, under your agreement with Meta. Stellad's fees are separate and cover only the use of the Stellad service.


#3. Eligibility and account

To use Stellad you must:

  • have a Shopify store you own or are authorized to operate
  • have a Meta Business account and ad account you are authorized to use
  • be acting in the course of a professional or commercial activity
  • be old enough to enter into a binding contract under your local law

You are responsible for the accuracy of the information you give us and for keeping your Shopify and Meta credentials secure. You authorize Stellad to act on your behalf in your Meta ad account to the extent of the permissions you grant during OAuth.


#4. The free trial and how billing starts

#4.1 Free first campaign

Every new merchant gets one free campaign. The trial works like this:

  • When you install Stellad and launch your first campaign, billing does not start immediately.
  • You have 30 days from launch of your first campaign during which Stellad is free.
  • During the 30-day trial, you can cancel by uninstalling the app from your Shopify admin. No fee will be charged.
  • After 30 days, your campaign keeps running, but a paid plan is required to keep it active. At that point Shopify Billing will issue the first charge for the plan you selected.

#4.2 Plans and prices

All prices are in USD. Shopify Billing handles any currency conversion to your local currency at Shopify's then-current rates. Stellad does not charge VAT (franchise en base de TVA, CGI Art. 293 B).

We may change prices with at least 30 days' prior notice by email and in-app. Changes apply only to billing periods that start after the notice period. You can terminate before the new price applies.

#4.3 Billing mechanics

  • Billing is done through the Shopify Billing API. You authorize charges as part of subscribing.
  • A second payment processor (Stripe) is contemplated for the future. Activation will be preceded by at least 30 days' notice and an updated sub-processor list in our Data Processing Agreement.
  • Charges are recurring (monthly or annually as you choose) until cancellation.

#4.4 Cancellation

You can cancel at any time from the Stellad in-app settings or by uninstalling the app from your Shopify admin. Cancellation takes effect at the end of the current billing period. The service remains available until then.

#4.5 No refunds

Because every merchant receives a 30-day free trial sufficient to evaluate the service, all subscription fees are non-refundable once a billing period has begun. Pro-rata refunds are issued only where mandatory consumer or commercial law requires them. This clause does not affect any rights that cannot be waived under French law (notably Code de la consommation L221-18 and following, where applicable).


#5. Acceptable use

You agree not to use Stellad to:

  • promote products or content that are illegal under French, EU, or your local law
  • promote products that violate Meta's Advertising Policies, Shopify's Acceptable Use Policy, or Shopify's Partner Program Agreement
  • run ads for: weapons, illicit drugs, sexual services, gambling without proper licensing, financial scams, miracle cures, deepfake or impersonation content, content infringing third-party intellectual property
  • attempt to reverse-engineer, decompile, or extract Stellad source code or models
  • circumvent rate limits, scraping protections, or access-control mechanisms
  • send malicious code, denial-of-service traffic, or use Stellad to attack any third party
  • impersonate another merchant or interfere with another merchant's account
  • use Stellad to send unsolicited communications outside what Meta and Shopify allow

You are responsible for the legality of your products and the truthfulness of the claims in your store. Stellad's AI-generated creatives are based on your store data; you are responsible for reviewing and approving them before they go live.

We may suspend or terminate your account immediately if we reasonably believe you are violating this section, with or without notice depending on severity.


#6. Your data and ours

How we handle personal data is described in our Privacy Policy and our Data Processing Agreement. The DPA forms part of these Terms by reference and applies whenever Stellad processes personal data on your behalf.

You retain ownership of your store data, your customer data, your ad creatives, and the campaigns we run for you. You grant Stellad a non-exclusive, worldwide, royalty-free license to use this data only to provide and improve the service, including by creating and managing campaigns, generating ad creatives, and forwarding hashed customer events to Meta on your instructions.

Stellad does not train AI models on your data. AI generation is performed by sub-processors (Anthropic, fal-ai, Higgsfield) under contracts that prohibit training on your inputs and outputs.


#7. AI-generated content and attribution

Stellad uses AI models (including Anthropic's Claude, fal-ai's image models, Higgsfield's video models) to generate ad copy, images, and videos based on your store data. You acknowledge:

  • AI-generated outputs are statistical and may contain errors, hallucinations, or undesirable phrasing
  • You are the publisher of the campaigns that go live and are responsible for reviewing creatives before launch
  • Stellad is not liable for the accuracy of AI-generated text or imagery
  • Where you hold rights to underlying product images we transformed, you retain those rights; Stellad claims no ownership of generated outputs

You must not feed Stellad any third-party intellectual property, personal data, or confidential information for which you don't have rights to use.


#8. Service level and availability

Stellad is provided on a best-effort basis. We do not commit to a specific uptime percentage, response time, or service level. There is no SLA.

Support is provided on a best-effort basis at support@stellad.app. We typically respond within a few business days. We do not guarantee response times.

We may schedule maintenance and will announce it in-app where practicable. We may also need to take the service offline at short notice for emergency fixes.


#9. Third-party services

Stellad depends on third-party services we do not control, including Shopify, Meta, Anthropic, fal-ai, Higgsfield, Supabase, Vercel, Resend, and Sentry. If any of these change, become unavailable, or change their terms in a way that affects Stellad, we may suspend, modify, or discontinue features as needed. We will give you reasonable notice when feasible.

You are bound by the terms of those third parties when you use their services through Stellad. Notably:

  • Shopify's Terms of Service and API License Terms govern your use of Shopify
  • Meta's Commercial Terms, Advertising Policies, and Platform Terms govern your use of Meta
  • All Meta ad spend is billed by Meta to you directly under your Meta agreement

#10. Warranty disclaimer

To the maximum extent permitted by law, Stellad is provided "as is" and "as available". We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty as to the performance of campaigns, return on ad spend, conversion rate, or business outcomes.

We do not warrant that the service will be uninterrupted, error-free, or secure against every possible attack, only that we apply security measures appropriate to the risk (see Privacy Policy Section 7).

This section does not exclude any liability that cannot be excluded under French law, including liability for gross negligence (faute lourde), willful misconduct (faute dolosive), or for personal injury.


#11. Limitation of liability

To the maximum extent permitted by law:

  • Stellad's total aggregate liability for any claim arising out of or relating to these Terms or the service is capped at the amount you paid Stellad in the 12 months preceding the event giving rise to the claim.
  • Stellad is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost ad spend, lost data, business interruption, or reputational harm.
  • Stellad is not liable for ad spend on Meta, refunds owed to your customers, chargebacks, or any commercial outcome of the campaigns we run for you.

Nothing in this section limits liability for fraud, gross negligence (faute lourde), willful misconduct (faute dolosive), personal injury, or any liability that cannot be limited under mandatory French law.


#12. Indemnity

You agree to indemnify, defend, and hold harmless Stellad from and against any third-party claim arising from:

  • your products, content, or campaigns
  • your violation of Section 5 (Acceptable use)
  • your violation of Shopify's or Meta's terms
  • your violation of applicable law, including consumer law and intellectual property law
  • the data you instruct Stellad to process

This indemnity applies only to the extent the claim is not caused by Stellad's gross negligence or willful misconduct.


#13. Term and termination

These Terms apply from the moment you install the app or accept them in-app, and remain in force until terminated.

You may terminate at any time by uninstalling the app or canceling your subscription in-app. Service continues until the end of the current billing period.

We may terminate or suspend your account:

  • immediately if you breach Section 5 (Acceptable use) or fail to pay fees
  • with 30 days' notice for any other reason, including discontinuation of the service
  • immediately if a sub-processor we depend on terminates our access in a way that prevents continued service

On termination, Section 6 (Your data), Section 11 (Limitation of liability), Section 12 (Indemnity), Section 14 (Governing law), and any other clause that by its nature should survive, will survive.

After termination, your data is deleted as described in the Privacy Policy and DPA.


#14. Governing law and jurisdiction

These Terms are governed by French law, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

Any dispute that cannot be resolved amicably will be brought before the Tribunal Judiciaire de Bonneville (Haute-Savoie, France), which has exclusive jurisdiction. This jurisdiction clause applies to merchants acting in a professional capacity (B2B).

If you qualify as a consumer under the French Code de la consommation, you may bring a dispute before the courts of your place of domicile, and you may use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.


#15. Changes to these Terms

We may update these Terms. Material changes will be notified by email and in-app at least 30 days before they take effect. Continued use after that date is acceptance. If you do not accept the changes, terminate before they take effect.

The "Last updated" date at the top is always current. The current version supersedes all prior versions.


#16. Miscellaneous

  • Entire agreement. These Terms, the Privacy Policy, and the DPA are the entire agreement between you and Stellad on this subject.
  • No waiver. A failure to enforce a right is not a waiver of that right.
  • Severability. If a clause is held invalid, the rest remains in force.
  • Assignment. You may not assign these Terms without our consent. We may assign them as part of a sale, merger, or restructuring of Stellad with notice to you.
  • Force majeure. Neither party is liable for failure caused by an event beyond reasonable control (Code civil Art. 1218), including acts of war, natural disaster, internet outage, or sub-processor failure.
  • Notices. Notices to Stellad must be sent to legal@stellad.app. Notices to you are sent to your account email.
  • Language. These Terms are in English. If we provide a French translation, the English version controls in case of conflict, except where French law requires otherwise.
